Terms of Service

Agreement

These terms govern your use of era.dev and app.era.dev. Your agreement is with New Compute Era Inc., a Delaware corporation trading as Era Compute. By using these services, you agree to these terms. If you use them for an organization, you confirm that you have authority to accept on its behalf. Our Privacy Policy explains how we process personal information.

A separate signed agreement governs the services or transactions it covers and takes precedence over these terms where they conflict.

Eligibility and accounts

The services are for business use. Product accounts require a work email. You are responsible for keeping your credentials secure, managing authorized access and providing accurate information. Tell us promptly if you suspect unauthorized account access.

What Era Compute does

Era Compute sources and structures compute capacity, supports commercial development and introduces qualified parties. Capacity contracts are between the buyer and the operator unless a separate agreement expressly makes Era Compute a party. Website information, a portal submission or an introduction alone does not reserve capacity or create a capacity contract.

Market information

Prices, availability, specifications and index values are indicative. They are compiled from public and private sources and may be incomplete, incorrect or out of date. Verify material details with the relevant provider before making a commitment. This information carries no warranty of accuracy or availability and is not financial, investment or procurement advice.

You may use information made available to you for your organization's internal business purposes, subject to any stated access restrictions. You may not scrape, bulk export or redistribute market datasets outside your organization without our written permission.

Supplier portal

You confirm that you are authorized to provide the information and documents you submit, including information about capacity you represent. Keep material details accurate and tell us when availability or your authority changes. You retain ownership of your submissions and permit Era Compute to store, process and review them to provide the service.

Era Compute treats supplier submissions as confidential. We use them only to qualify and match capacity, we never list or publish them, and we disclose them to a counterparty only with your consent. A mutual non-disclosure agreement is available on request. Submissions are private to your organization and authorized Era Compute reviewers. Qualification does not mean publication, acceptance of a commercial offer or a commitment to bring a customer. Era Compute may decline a submission, request corrections, or restrict or remove it from the portal. Sharing with a counterparty follows the introduction process described in our Privacy Policy.

Text you submit for automatic organization and public company website content used during setup may be processed by a third-party AI provider. Suggestions require your review and do not verify facts or authorize publication.

Analytics and session recording

The app records usage, including session recordings with typed inputs masked, to improve the service; supplier onboarding and the supplier portal are excluded, as explained in the Privacy Policy.

Intellectual property

The site, app, software, content and compilations belong to Era Compute or its licensors, except for material you or other contributors own. We grant you a limited, non-exclusive, non-transferable right to use the services for your permitted business purposes while you comply with these terms. No other rights are transferred.

Acceptable use

Do not attempt unauthorized access, interfere with the services, bypass access controls, upload malicious material, misrepresent your identity or authority, or use the services unlawfully. Do not use our datasets or restricted content to create or support a competing data product without our written permission.

Ending access

You may stop using the services and ask us to close your account. We may suspend or terminate access for misuse, a breach of these terms, a security concern or a legal requirement. Ending access does not cancel obligations under a separate agreement. Provisions concerning intellectual property, permitted data use, liability and disputes continue where needed to give them effect.

Disclaimers and liability

To the extent permitted by law, the services are provided as is and as available, without implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not guarantee uninterrupted operation, error-free information, a successful introduction or a particular commercial outcome.

To the extent permitted by law, Era Compute is not liable for indirect, incidental, special or consequential losses, or loss of profits, revenue, business opportunities or data arising from use of the services. Our total liability arising from these terms or the services is limited to the amount you paid Era Compute for the services in the twelve months before the event giving rise to the claim, or one hundred US dollars if you paid nothing during that period.

These exclusions and limits do not apply to fraud, willful misconduct or liability that applicable law does not allow us to exclude or limit. A separate signed agreement may set different terms for the services it covers.

Governing law

These terms are governed by Delaware law, excluding its conflict-of-laws rules. Disputes are subject to the state or federal courts in Delaware, except where mandatory law requires otherwise.
